The '''equity market''' is the market in which shares of ownership in companies are issued and traded. Equities, also called stocks, give holders a residual claim on the earnings and assets of a firm, along with rights to vote on certain corporate matters. Equity markets are a principal channel for raising long-term capital and for the allocation of ownership and control in the corporate sector.

== Primary and Secondary Markets ==
In the primary market, companies issue new shares to raise capital, through initial public offerings or subsequent seasoned offerings. The proceeds accrue to the firm and finance investment. In the secondary market, existing shares are traded among investors, providing liquidity and price discovery but not directly providing capital to the issuing firm.

The secondary market matters for the primary market because it allows investors to value shares and to sell them, reducing the liquidity premium they demand. Without a functioning secondary market, the cost of equity finance would be substantially higher.

== Price Formation and Valuation ==
Equity prices reflect expectations of future dividends, discounted at a rate that compensates for time and risk. Because expectations are uncertain, prices fluctuate with news about earnings, interest rates, and the economic outlook. Valuation multiples, such as the price-to-earnings ratio, summarise the relationship between price and fundamentals and can be used to compare companies and assess the level of the market.

The efficient market hypothesis holds that prices incorporate available information, so that systematically beating the market is difficult. Behavioural finance documents patterns and anomalies that challenge strong versions of the hypothesis, including momentum, reversals, and sentiment-driven mispricing.

== Market Microstructure ==
Equity markets operate through exchanges, alternative trading venues, and over-the-counter mechanisms. Trading is governed by rules on order types, price and time priority, and transparency. Market structure affects liquidity, transaction costs, and the quality of price discovery.

Electronic trading, algorithmic execution, and competition among venues have transformed equity markets, reducing explicit costs but raising concerns about fragmentation, the reliability of the market under stress, and the consequences of high-frequency trading for other participants.

== Role in the Economy ==
Equity markets allocate ownership and facilitate the diversification of risk. Share prices provide information to managers and investors, and the market for corporate control disciplines underperforming management through the threat of takeover. At the same time, equity markets can amplify booms and busts, with consequences for investment and economic stability.

The distributional effects of equity market performance are significant, since equity ownership is concentrated in many economies, meaning that market gains accrue disproportionately to wealthier households.

== Initial Public Offerings and Capital Raising ==
The decision to go public involves trade-offs. Access to capital and liquidity and the ability to use shares as currency for acquisitions are benefits. Costs include disclosure obligations, the loss of privacy, the expense of listing, and exposure to the pressures of short-term market expectations.

Initial public offerings are typically underpriced in many markets, generating a first-day gain for subscribers, a phenomenon explained by information asymmetry, underwriter incentives, and the desire to build a supportive shareholder base. The long-run performance of newly listed firms has been found to be weak in some periods, a pattern known as the new issue puzzle.

== Shareholder Rights and Governance ==
Equity markets allocate control as well as capital. The structure of share ownership and the rights attached to shares determine the balance of power between shareholders, managers, and other stakeholders. Concentrated ownership can improve monitoring but may allow controlling shareholders to extract private benefits.

Legal protection of minority shareholders is a key determinant of the depth and development of equity markets. Where such protection is weak, ownership tends to be more concentrated and markets less liquid, because outside investors are reluctant to hold minority stakes.

== Institutional Investors and Market Structure ==
The rise of institutional investors, including pension funds, insurance companies, and asset managers, has transformed equity markets. Institutions now hold a large share of equity in many markets, and their trading behaviour influences liquidity, volatility, and corporate governance.

Index funds and passive strategies have grown rapidly, raising questions about their effects on price discovery and on the incentive for active monitoring of managers. The concentration of ownership in a few large asset managers has attracted regulatory attention.

== Derivatives and Market Linkages ==
Equity derivatives, including index futures, options, and swaps, are closely linked to the underlying cash market. They allow investors to hedge and to take leveraged exposure, and they contribute to price discovery. At the same time, linkages between markets can transmit stress, and the failure of a major counterparty can disrupt trading.

The growth of exchange-traded funds has further connected markets, increasing the commonality of trading across securities included in an index and raising concerns about the resilience of the market during stress.

== Global Equity Markets ==
Equity markets have become increasingly integrated, with cross-border investment and listings. This integration can improve risk sharing and reduce the cost of capital, but it also transmits shocks across borders. Emerging equity markets have grown in importance, offering diversification and growth opportunities while exposing investors to additional political and currency risks.
